Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the AeroVigil platform and related websites, applications and services (together, the "Service").
Please read these Terms carefully. They include important provisions on the decision-support nature of the Service, on billing through our payment reseller, and on the limitation of our liability. By using the Service you agree to be bound by these Terms.
1. Agreement
The Service is operated by Aersynx OÜ, a company registered in Estonia under registry code [Estonian registry code], with its registered address at Sepapaja tn 6, 15551 Tallinn, Estonia. In these Terms, Aersynx OÜ trading as "AeroVigil" is referred to as "AeroVigil", "we", "us" or "our".
These Terms form a binding agreement between AeroVigil and the individual or organisation that accesses or uses the Service ("you", "your" or the "Customer"). If you use the Service on behalf of an organisation, references to "you" include that organisation.
By creating an account, subscribing to a plan, or otherwise using the Service, you confirm that you have read, understood and accepted these Terms. If you do not agree, you must not use the Service.
These Terms incorporate by reference our Privacy Policy and our Acceptable Use Policy, which together describe how we handle personal data and the rules that apply to your use of the Service. In the event of a conflict between these Terms and a separately signed written agreement with AeroVigil, that signed agreement prevails.
2. The service
AeroVigil is an aviation security intelligence and risk-assessment platform. It aggregates official advisories, government notices, open-source intelligence (OSINT) indicators, news signals and live flight activity into a single workspace.
The purpose of the Service is to help flight operators and their teams produce their own aviation security risk assessments faster and with a clear evidence trail. The Service organises, correlates and presents information; it does not replace the professional judgement of the operator.
We may add, modify, suspend or remove features of the Service over time. We will not make material reductions to a paid plan's core functionality during a paid term without a reasonable substitute or remedy.
The completeness, timeliness and availability of source data depend on third parties outside our control. We do not guarantee that any particular advisory, notice, signal or flight position will be present, accurate or current at any given time.
3. Decision-support only — no automated decisions
The Service is decision-support software only. It is designed to inform, not to decide. AeroVigil never makes a final security or safety decision automatically, and the Service must never be used as if it does.
You remain responsible. The Customer is at all times solely responsible for its own aviation security risk assessment and for any operational decision it takes, including any decision to operate, divert, delay or cancel a flight. Such decisions must be made by qualified personnel exercising their own professional judgement and complying with all applicable regulatory obligations.
Single-source and unverified signals are not confirmed risks. Information surfaced from a single source, or from an unverified OSINT or news signal, does not on its own constitute a confirmed risk. Such indicators are intended only as leads for the Customer's own verification and assessment.
No life-safety guarantee. We do not warrant any operational, security or life-safety outcome. The Service does not guarantee that risks will be detected, that detected risks are accurate, or that acting on the information will prevent harm. You must not rely on the Service as your sole source of aviation security information.
4. Accounts and eligibility
To use most features you must create an account. You agree to provide accurate, current and complete information and to keep it up to date.
Authority to bind. If you register or use the Service on behalf of an organisation, you represent and warrant that you are authorised to accept these Terms on that organisation's behalf and to bind it to them.
Eligibility. The Service is intended for business use by flight operators, airlines, dispatch and security teams and similar organisations. You must be of legal age to enter into a binding contract in your jurisdiction.
Credential security. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must keep credentials confidential, use appropriate access controls for your team, and notify us promptly at info@aerovigil.com if you suspect any unauthorised access or use.
5. Acceptable use
Your use of the Service must comply with our Acceptable Use Policy, which forms part of these Terms.
In summary, you must not misuse the Service, attempt to circumvent its security or access controls, scrape or resell its data other than as permitted, use it to violate any law or third-party right, or use it in any way that is inconsistent with its decision-support purpose. The full and binding rules are set out in the Acceptable Use Policy.
6. Subscriptions and billing
The Starter and Professional plans are self-serve subscriptions that are purchased and billed online. The Strategic plan and the operational pilot are arranged directly with the AeroVigil team and are not available through self-serve checkout; the commercial terms for those engagements are agreed separately in writing.
Paddle as Merchant of Record. Our self-serve paid plans are sold through Paddle (Paddle.com Market Ltd, a company registered in the United Kingdom), which acts as our Merchant of Record and authorised reseller. When you purchase a subscription, your purchase contract for that transaction is with Paddle as reseller. Paddle handles checkout, payment processing, invoicing, billing, and the collection and remittance of any applicable sales tax, VAT or GST.
Payment data. Paddle is the controller of the payment, billing, tax and fraud-prevention data it collects at checkout. AeroVigil never sees or stores your full card number. Paddle's handling of your data is governed by Paddle's own terms and privacy notice presented at checkout.
Automatic renewal. Subscriptions renew automatically for successive periods until cancelled. You may manage or cancel your subscription at any time from the in-product billing area; cancellation takes effect at the end of the then-current billing period unless stated otherwise.
Refunds. Refunds for self-serve plans are processed by Paddle on our behalf, in line with Paddle's Buyer Terms and our Refund Policy. You may request a refund from AeroVigil at info@aerovigil.com or directly through Paddle.
Taxes. Prices are exclusive of taxes unless stated otherwise. Any applicable transaction taxes are determined and collected by Paddle at checkout.
7. Intellectual property
Our rights. The Service, including its software, design, interfaces, documentation, and the intelligence we compile, correlate, score and present, is owned by Aersynx OÜ or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, we reserve all rights in and to the Service.
Licence to you. Subject to these Terms and your payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes during your subscription term.
Your content. You retain ownership of the assessments, notes, configurations, fleet and route data and other content that you submit to the Service ("Customer Content"). You grant us a worldwide, non-exclusive licence to host, store, process, transmit and display Customer Content solely as necessary to provide, secure and improve the Service for you, and as described in our Privacy Policy.
Feedback. If you give us feedback or suggestions about the Service, we may use them without restriction or obligation to you.
8. Confidentiality
Each party may receive non-public information from the other that is marked or reasonably understood to be confidential ("Confidential Information"). The receiving party will use Confidential Information only to perform under these Terms and will protect it with at least reasonable care.
Confidential Information does not include information that is or becomes public through no fault of the receiving party, was already lawfully known, or is independently developed. A party may disclose Confidential Information where required by law, giving reasonable notice where lawfully permitted.
9. Disclaimers and limitation of liability
As-is. The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.
No warranty on outcomes. We do not warrant that the Service will be uninterrupted, error-free or secure, that source data will be complete, accurate or timely, or that use of the Service will achieve any particular security or operational result. This reflects the decision-support nature of the Service described in Section 3.
No liability for operational decisions. To the maximum extent permitted by law, we are not liable for any aviation security risk assessment, operational decision, or action or omission taken by the Customer or any third party on the basis of information provided through the Service. Responsibility for such assessments and decisions rests with the Customer.
Excluded losses. To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or business, however caused.
Liability cap. To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service in any twelve-month period is limited to the amounts you paid for the Service in the twelve months preceding the event giving rise to the claim.
Mandatory-law carve-out. Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, for fraud, or under mandatory consumer-protection law in your country of residence.
10. Indemnity
You agree to indemnify and hold harmless AeroVigil and its personnel against reasonable losses, damages and costs (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service, your Customer Content, or your violation of any law or third-party right in connection with the Service. This indemnity is subject to the mandatory-law carve-out in Section 9 and does not apply to the extent a claim arises from our own breach or negligence.
11. Term, suspension and termination
These Terms apply for as long as you use the Service. You may stop using the Service and cancel any subscription at any time as described in Section 6.
We may suspend or terminate your access, in whole or in part, if you materially breach these Terms or the Acceptable Use Policy, if required by law, or if your use poses a security or legal risk. Where practicable and lawful, we will give notice and an opportunity to remedy.
On termination, your right to access the Service ends. Our handling and retention of your data following termination, including any export window, is described in our Privacy Policy. Sections that by their nature should survive termination, including intellectual property, confidentiality, disclaimers, limitation of liability, indemnity and governing law, will survive.
12. Governing law and dispute resolution
These Terms are governed by the laws of Estonia, without prejudice to any mandatory consumer-protection or data-protection rights you have under the law of your country of residence.
The courts of Estonia have jurisdiction over any dispute arising out of or relating to these Terms or the Service, except where mandatory law gives you the right to bring proceedings in, or requires application of the law of, your country of residence.
Before commencing formal proceedings, we encourage you to contact us at info@aerovigil.com so we can try to resolve the matter informally.
13. Changes to these terms
We may update these Terms from time to time, for example to reflect changes in the Service, our processors, or the law. When we make material changes, we will update the "Last updated" date and take reasonable steps to notify you, such as by email or an in-product notice.
Changes take effect when posted unless stated otherwise. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to a change, you should stop using the Service and may cancel your subscription.
